Decision-Making Structure

Our corporate governance is anchored in a Board of Directors, which serves as the highest decision-making body within the company. The board consists of seven members – four principal directors and three independent or external members – responsible for overseeing business strategy and operational execution. The Chief Operating Officer (COO) reports directly to the Board, ensuring that executive management remains accountable to the company’s long-term interests.

To support the Board of Directors, we have established five specialized committees, each focused on key operational areas:

  • Internal Audit Committee. Oversees financial integrity, internal controls, and compliance with auditing standards.
  • Commercial Committee. Evaluates market strategies, pricing models, and customer engagement practices.
  • Public Affairs Committee. Manages regulatory affairs, industry relations, and corporate responsibility initiatives.
  • Financial Committee. Monitors financial planning, investment strategies, and risk management.
  • Human Resources Committee. Develops talent management policies, employee relations, and workplace standards.

These committees ensure that every critical aspect of our operations is systematically evaluated, reinforcing accountability and efficiency across all levels of the organization.
